What is eBrevia?

eBrevia (originally developed in partnership with Columbia University and subsequently acquired by DFIN - Donnelley Financial Solutions) is a highly secure artificial intelligence software aimed at contract analysis and due diligence processes (legal auditing). The platform utilizes proprietary natural language processing and machine learning algorithms to extract, analyze, and summarize critical contract data, drastically reducing the time lawyers and auditors spend reviewing drafts manually.

How it works

The user uploads batches of documents (which can contain hundreds or thousands of scanned PDF contracts or text files). eBrevia applies advanced Optical Character Recognition (OCR) technologies to read low-quality scanned files and then runs semantic analyses. The system identifies and populates spreadsheets with key clauses, such as insurance obligations, transfer of rights restrictions, renewal dates, and automatic termination terms, allowing users to export structured management reports on corporate risk.

Key features

  • Advanced Clause Extraction: Intelligent identification of more than 100 pre-mapped and customizable types of legal clauses.
  • State-of-the-Art OCR: Digitization and precise reading of legible texts from old scanned contracts with low graphic resolution.
  • Audit and Due Diligence Dashboard: Structured tools that allow multiple lawyers to work collaboratively auditing corporate portfolios.
  • Contract Compliance Report: Generation of spreadsheet summaries containing the status of each legal obligation found.

Available integrations

eBrevia connects to classic corporate legal data tools:

  • Cloud repositories and corporate storage: Microsoft SharePoint, Box, Google Drive.
  • Custom APIs to connect to large corporate Document Management Systems (DMS).

Who it is for

  • Medium and Large-Sized Law Firms tasked with conducting corporate due diligence audits in mergers and acquisitions (M&A).
  • Legal and Compliance Directors of large companies who need to manage operational risk and supplier contract renewals in an agile way.
  • Corporate Auditors and Consultants evaluating hidden liabilities in highly complex financial negotiations.

Pros and cons

Pros:

  • Very high precision OCR that can read and structure old scanned contracts with low graphic resolution.
  • Reduces M&A contract audit times by up to 50% to 70% compared to purely human visual review.
  • Bank-level data security governance maintained by DFIN.

Cons:

  • No low-cost subscription plans for solo practitioners or small startups.
  • Initial setup of new company-specific clauses may require specialized technical support from the platform.
